Robin D. McGuire focuses on general commercial and contract law and on representing parties involved in significant oil and gas, real estate and business entity contract disputes and bankruptcies.

Robin represents and advises clients in connection with oil, gas and energy, commercial and large tract real estate, restaurant and hospitality, software, medical and hospice, entity formation and operation and in connection with disputes in those areas.

Robin brings over 35 years of business and legal experience to his clients having worked for or represented independent producers, major producers, pipeline companies, oilfield service companies, seismic exploration companies, oil and gas management companies, financial institutions, hospice organizations, software companies, restaurant and resort owners and significant landowners. 

 Robin is admitted to practice in Arkansas, Louisiana and Texas and the courts of those states.

Professional Summary

Robin offers years of corporate, general business, contract, litigation, and bankruptcy legal experience in a diverse array of industries including real estate, oil and gas exploration, production and transportation, agriculture, ranching, restaurant, food products, resort, health, information technology and capital investment. 

Robin’s experience includes years in private legal practice counseling and representing a variety of clients focused primarily on oil and gas exploration, production and midstream, title and real estate.  Robin’s private practice experience included negotiating, drafting and closing on joint participation, acquisition, divestiture and financing transactions, providing corporate and general legal advice to both public and privately held entities and representing clients in various litigation and bankruptcy matters. 

Robin also spent years as in-house general counsel advising and counseling a multitude of privately held companies active in the real estate, oil and gas exploration, production and transportation, agriculture, ranching, restaurant, food products, resort, health, information technology and capital investment industries.  As general counsel, Robin also managed both legal and other staff as vice president of these companies and later as president of an oil and gas exploration and production company.

Robin is licensed to practice in Arkansas, Louisiana and Texas.  He holds a BS in Petroleum Engineering from Mississippi State University and obtained his Juris Doctor from Loyola School of Law in New Orleans, Louisiana. 

Representative Experience

President and General Counsel (2022-2023) with Overton Park Oil & Gas LP

Managed oil and gas exploration and production company and represented same in all legal matters.

Managed various environmental restoration operations.

General Counsel and Vice President (2006-2021) with Eland Energy, Inc. • Dallas, TX

Supported the President and Board in the management of 70 related entities including time spent as a Board Member and attending Board meetings as the legal and land advisor.

Managed, negotiated, drafted and closed numerous oil and gas acquisition and divestiture transactions exceeding $750 million in value.

Managed dozens of commercial and raw land real estate acquisition, divestiture and leasing transactions exceeding $500 million in value. 

Managed, negotiated and drafted oil and gas leasing and land related agreements and activities for the drilling and development of thousands of acres in several producing states, including Texas, Oklahoma, Mississippi and Louisiana.

Reviewed, negotiated and drafted various participation and investment agreements through which the family businesses participated in various restaurant concepts, and involved in the management of those investments, as well as certain of the restaurant concepts owned by the family businesses.

Reviewed, negotiated and drafted various participation and investment agreements through which certain of the family businesses participated in a variety of start-ups, including information technology, food product, health, industrial, midstream, real estate, clothing, entertainment and investment businesses.

Reviewed, negotiated and drafted financing agreements, including loan agreements, deeds of trust, mortgages, promissory notes, and security agreements for third-party and internal financing.

Attorney/Partner in Charge of and managed the Lafayette office of Jones Walker from 1992-2006, including associates, paralegals and assistants.  Legal practice focused primarily on oil and gas, midstream oil and gas, title and real estate, including negotiating, drafting and closing on joint participation, acquisition, divestiture and financing transactions having total values in excess of several billion dollars.  Also, represented numerous clients as lead attorney/first chair in various litigation and bankruptcy matters involving hundreds of millions of dollars. 

Reservoir Engineer, Production Engineer and Area Production Engineer • Texaco, Inc. (1980-1982); Exchange Oil & Gas Co. (1982-1986); Transco Exploration and Production Company (1986-1988) • New Iberia, LA (1980-1982); New Orleans, LA (1982-1988)

Reservoir engineering duties included determining reserves for SEC and internal investment purposes for Texaco, Exchange and Transco properties primarily located offshore and South Louisiana.  Production and Area Production engineer responsible for offshore, South Louisiana, East Texas and Mississippi operated and non-operated properties.
